Paid Ads Management Service

1. Introduction
These Terms of Service (“Agreement”) govern the Paid Ads Management Service (“Service”) provided by Adwise Consulting LLC (“Company,” “we,” “our,” or “us”) to you (“Client,” “you,” or “your”). By subscribing to our Service, you agree to be bound by these terms.

2. Service Description
We provide monthly management of one or more advertising channel (Google Ads or Meta Ads). The Service includes campaign creation, monitoring, and adjustments to improve performance. This does not include ad spend, which is solely the Client’s responsibility.

3. Fees and Payment

  • The Client agrees to pay the subscription fee as stated at the time of purchase.
  • Payments are processed through Stripe and are due on a recurring basis unless canceled per Section 7. The subscription billing cycle begins on the date of initial payment and renews on the same date each month, regardless of when campaign activities begin. Fees are not prorated for delays caused by the Client’s failure to provide timely access, approvals, or other required assets.

4. Client Responsibilities

  • The Client must provide necessary access credentials to the selected ad platform.
  • The Client must maintain an active payment method and sufficient ad budget.
  • The Client is responsible for compliance with all applicable advertising policies.

5. Performance Disclaimer
While we strive to optimize ad performance, we do not guarantee specific results, including conversions, leads, or return on investment (ROI). The effectiveness of ads depends on various factors outside our control.

6. Intellectual Property
All ad creatives, copy, and strategy developed by us remain our intellectual property unless otherwise agreed in writing. The Client may use these assets only for the intended advertising purposes.

7. Cancellation and Refund Policy

  • The Client may cancel the subscription at any time before the next billing cycle. No refunds will be issued for the current billing period.
  • If cancellation occurs before the end of a billing cycle, the service will remain active until the period expires.
  • Please note: While we are committed to delivering high-quality service and ongoing optimization, we do not guarantee specific results or outcomes. Advertising performance can be affected by a range of external factors beyond our control. As such, refunds will not be issued based on campaign performance or dissatisfaction with results.
  • The Service is billed in full for each billing cycle once payment is processed. There is no option to pause or prorate the Service mid-cycle for any reason, including delayed campaign launches due to Client actions.
  • If the Client does not provide required materials, approvals, information, or account access on time, the Company is not responsible for any resulting delays in launching or managing campaigns. These delays do not pause, extend, or change the billing cycle. All fees remain due in full, are non-refundable, and will not be prorated under any circumstances.

8. Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages arising from the use of our Service. Our total liability shall not exceed the fees paid by the Client in the last billing cycle. No refunds will be issued for unsatisfactory ad performance.

9. Indemnification
The Client agrees to indemnify and hold us harmless from any claims, damages, or liabilities arising from their use of our Service, including but not limited to violations of advertising policies or third-party rights.

10. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the State of Wyoming, United States. Any disputes arising from this Agreement shall first be resolved through arbitration in Wyoming before seeking litigation.

11. Amendments
We reserve the right to update these Terms of Service at any time. Clients will be notified of any material changes, and continued use of the Service constitutes acceptance of the revised terms.
